Acceptance of Terms
By accessing or using MerchantSphere ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Service. These Terms apply to all users, including business owners, administrators, managers, and other authorized personnel.
Description of Service
MerchantSphere is a cloud-based Enterprise Resource Planning (ERP) software designed for Nigerian small and medium enterprises.
- Inventory management and stock tracking
- Sales and invoicing
- Purchase order management
- Customer and supplier relationship management
- Financial accounting and reporting
- Multi-user access with role-based permissions
User Accounts
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring all users within your organization comply with these Terms
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activities.
Payment Terms
MerchantSphere offers various subscription plans. By subscribing:
- You agree to pay all fees associated with your chosen plan
- Subscription fees are billed in advance on a recurring basis
- All fees are quoted and payable in Nigerian Naira (NGN)
- Refunds are provided only as specified in our Refund Policy
- Failure to pay may result in suspension or termination of service
We offer a 14-day free trial for new accounts. After the trial period, you must subscribe to continue using the Service.
Data Privacy and Security
Your privacy is important to us. Our collection and use of your data is governed by our Privacy Policy. By using the Service:
- You retain ownership of all data you input into the Service
- We implement industry-standard security measures to protect your data
- We do not sell your data to third parties
- You are responsible for backing up your own data
Intellectual Property
The Service, including its design, features, and content, is owned by MerchantSphere and protected by intellectual property laws. You may not:
- Copy, modify, or distribute any part of the Service
- Reverse engineer or attempt to extract the source code
- Use our trademarks without written permission
- Create derivative works based on the Service
Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim
- We are not responsible for any loss of data, profits, or business opportunities
Termination
Either party may terminate this agreement:
- You may cancel your subscription at any time through your account settings
- We may terminate or suspend your account for violation of these Terms
- Upon termination, your access to the Service will cease immediately
- You may export your data within 30 days of termination; after which your data may be deleted
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be resolved in the courts of Lagos State, Nigeria.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
